1. Eligibility: The giveaway (the “Giveaway”) is open only to those who correctly follow the instructions for entering and who have reached the age of majority in their jurisdiction of residence as of the date of entry. The Giveaway is open only to legal residents of the United States of America, including the District of Columbia, and is void where prohibited by law. Employees of Amy’s Kitchen, LLC (the “Sponsor”) and its affiliates, subsidiaries, and advertising and promotion agencies, and their immediate family members and/or those living in the same household, are not eligible to participate in the Giveaway. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, you agree to be fully and unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Sponsor as final and binding as they relate to the Giveaway. The Giveaway is subject to all applicable federal, state and local laws.

3. Giveaway Period: Entries will be accepted online starting Sunday, November 2, 2025, at 8:00 AM PST and ending Friday, November 14, 2025, at 11:59 PM PST (“Giveaway Period”).

4. Entry Conditions: The Giveaway must be entered via Instagram by uploading a post during the Giveaway Period following Sponsor’s social post (posted during the Giveaway Period) that responds to the prompt of “Show Us Your Amy’s Dinner”; the post also must tag @amyskitchen and use the hashtags #IAMAMY and #GIVEAWAY. Each qualifying post equals one entry. Multiple entries are permitted. The entry must fulfill all Giveaway requirements to be eligible to win a prize. Entries that are not complete or do not adhere to these Official Rules will be disqualified at the sole discretion of Sponsor. Use of fraudulent methods or other attempts to circumvent the rules will make you ineligible at the sole discretion of Sponsor. By entering, you warrant and represent that: (a) the content provided is your own; and (b) your entry does not infringe upon rights of privacy, publicity or other intellectual property or other rights of any person or entity. Entrant will indemnify and hold harmless Sponsor from any claims to the contrary.

5. Prize: There will be one (1) winner of the Giveaway. The winner will receive three hundred and sixty-five (365) coupons for Sponsor’s products as follows: 121 coupons for up to $13 off any 1 Amy’s Pizza or Veggie Burger; 122 coupons for up to $11 off any 1 Amy’s Entrée, Snack, or Salsa; and 122 coupons for up to $7 off any 1 Amy’s Soup, Beans, Chili, Burrito, or Wrap (the “Prize”). Coupons expire on December 31, 2026, are redeemable only at participating retailers while supplies last, and have additional terms and conditions. No cash or other Prize substitution permitted except at Sponsor's discretion. Prize will be shipped within four (4) weeks after winner verification and completion of all required documentation. Winners must provide a valid United States street address that can accommodate FedEx delivery. Post office boxes, APO/FPO addresses, and other addresses that cannot receive FedEx deliveries are not acceptable. If delivery cannot be completed due to an incorrect, incomplete, or undeliverable address, unavailability of recipient, refusal of delivery, or any other reason not attributable to Sponsor, the Prize may be forfeited in Sponsor’s sole discretion and an alternate winner may be selected. Winners must ensure that someone eighteen (18) years of age or older is available to receive the Prize. Sponsor is not responsible for delays in delivery due to weather, shipping carrier delays, customs delays, or other circumstances beyond Sponsor’s reasonable control. Risk of loss or damage to Prize passes to winners upon delivery or attempted delivery. Winner is solely responsible for the payment of any federal, state, local, or other taxes on Prize. Winner may receive an IRS Form 1099-MISC and may be required to provide their Social Security number or taxpayer identification number for tax reporting purposes. Maximum fair market value of Sponsor products redeemable with Prize: $3,769; Approximate Retail Value ("ARV") of Prize (cash value of the coupons): $0.1825. Winners who fail to provide required tax information may forfeit their Prize. The actual value of any Prize awarded may be less than the stated ARV. The difference, if any, between actual value and ARV will not be awarded in cash or otherwise. No substitution of Prize or request for the cash equivalent by winners is permitted.

6. Odds: The odds of winning depend on the number of eligible entries received.

7. Winner selection and notification: The Winner of the Giveaway will be selected in a random drawing under the supervision of the Sponsor. Winner will be notified within five (5) days of the end of the Giveaway via a direct message from Sponsor on Instagram. Sponsor. shall have no liability for a winner's failure to receive the message for any reason, including winners' privacy or security settings. If the selected winner is ineligible, fails to respond to the message within seven (7) days from the time the message was sent, fails to provide an address for Sponsor to send the Prize, fails to cooperate with Sponsor in its attempts to deliver the Prize, cannot be contacted for any reason, or fails to timely complete and return any declaration, release or other document requested by Sponsor, the Prize may be forfeited and an alternate winner selected. As a condition of being declared a winner, the potential winner will be required to provide a valid U.S. physical mailing address that can accept FedEx deliveries. The receipt by winner of the Prize is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE GIVEAWAY, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by you: By entering the Giveaway you understand that Sponsor, anyone acting on behalf of Sponsor, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, modify, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry content and winner's name, portrait, picture, voice, likeness, image or statements about the Giveaway, comments, captions, hashtags, and other materials contained therein, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation. If requested, you agree to sign any documentation required by Sponsor or its designees to make use of these rights. You retain ownership of your content but grant Sponsor these broad usage rights. You represent and warrant that you own or have all necessary rights, licenses, consents and permissions to grant the foregoing license and that your Instagram content does not and will not violate any third-party rights or applicable laws.

9. Terms: Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Giveaway should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In such case, Sponsor may select the winner(s) from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or website or violates these Official Rules. Sponsor has the right, in its sole discretion, to maintain the integrity of the Giveaway, to void entries for any reason, including, but not limited to, the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Giveaway may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

Limitation of Liability: By entering you agree to release and hold harmless Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of the Prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Giveaway; (v) electronic or human error which may occur in the administration of the Giveaway or the processing of entries.

11. Disputes: THIS GIVEAWAY IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND CALIFORNIA WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Giveaway, you agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California having jurisdiction. Further, in any such dispute, where and to the extent permitted by law, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Giveaway), and you further waive all rights to have damages multiplied or increased.

Any questions, comments, or complaints regarding this Giveaway should be directed to Sponsor, not Instagram. By participating, you completely release and hold harmless Instagram, Inc., from any and all claims, damages, liabilities, costs, and expenses arising out of or relating to this Giveaway or your participation therein.
